Welcome to Signit. These Terms of Service (“Terms”) describe the legal agreement between you and Signit. These Terms govern your access to and/or use of the document platform, website and Signit’s content, services and products available at and/or through the website, including, but not limited to, electronic signature services, online uploads, display, delivery, acknowledgment, and limited storage services for documents and/or electronic contracts (collectively, “Services”) provided by us, Signit, a Limited Liability Company incorporated under the laws of the Kingdom of Saudi Arabia (“Signit”, “we,” “our” or “us”).
1. Acceptance of Terms
By accessing or using our Services, you confirm your agreement to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Services.
2. Updates and Amendments
We reserve the right to update or modify these Terms at our discretion. Any changes will be posted on our website with an updated revision date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms. We will endeavor to notify you of significant changes in advance through the contact information you have provided.
3. Use of Services
Upon accepting these Terms, Signit grants you a limited, non-exclusive license to use the Services for your internal business purposes, subject to these Terms. This license is for the sole purpose of enabling you to use the Services as provided by Signit, in the manner permitted by these Terms.
4. Account Registration and Security
To access certain features of the Services, you must register for an account. You agree to (a) provide accurate, current, and complete account information, (b) maintain and promptly update your account information to keep it accurate, current, and complete, (c) maintain the security of your password and accept all risks of unauthorized access to your account, and (d) promptly notify us if you discover or otherwise suspect any security breaches related to the Services.
5. Membership and Fees
5.1 Free Trial: Eligible users may access the Services through a Free Trial, without requiring payment information. If not converted to a paid plan, the trial will expire, and data may be deleted.
5.2 Membership Plans: You agree to pay all applicable fees for the selected membership plan. Fees are exclusive of taxes and will auto-renew unless cancelled. We will provide a notification prior to the auto-renewal of your subscription, offering you the opportunity to cancel the plan before you are charged for renewal.
5.3 Cancellation Policy: You may cancel your subscription at any time. No further charges will be made upon cancellation, but no refunds are provided for any prepaid fees.
5.4 Late Fees and Account Suspension: Failure to pay fees may result in account deactivation or suspension. We reserve the right to correct billing errors at any time.
6. Service Availability
We strive to provide uninterrupted service but acknowledge potential downtime due to maintenance, unforeseen circumstances, or factors beyond our control. We will make reasonable efforts to notify you of significant disruptions.
7. Data Privacy and Security
Signit is committed to protecting your privacy and securing your information. We use your information only as necessary to provide the Services and to improve service functionality. Our sharing of your data with third parties is strictly limited to the purposes of providing and enhancing the Services, in compliance with our Privacy Policy.
8. Content Responsibility
You retain full ownership of the documents you process through our Services. You grant Signit a limited license to access, process, and store your documents solely for the purpose of delivering the Services. You are responsible for ensuring that your use of the Services complies with all relevant laws and regulations and that the documents processed do not infringe on any third-party rights.
9. Prohibited Use
You agree not to misuse the Services or help anyone else do so. Specifically, you must not attempt to gain unauthorized access, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services.
10. Intellectual Property and Ownership
10.1 Proprietary Rights: The services provided by Signit, including but not limited to, our website, software, databases, interfaces, associated media, documentation, updates, new versions, and all other components or materials provided as part of our services, are the exclusive property of Signit and its licensors. These services contain copyrighted materials, trade secrets, and other proprietary information protected by intellectual property laws and international treaties.
10.2 Protection of Proprietary Information: By using the Services, you acknowledge that the proprietary content, including the intellectual property therein, is valuable to Signit and that you will use such content only as permitted under these Terms, ensuring the protection of confidentiality and proprietary rights.
11. Reference
Signit may recognize you as a customer and utilize your trademark and/or logo for marketing and promotional activities. This usage will adhere to any brand guidelines you furnish and will signify solely the existence of a customer relationship without implying additional endorsement or partnership. Should you wish to revoke this consent, please inform us in writing at your convenience.
12. Termination
Signit reserves the right to terminate or suspend access to the Services for just cause, including but not limited to breaches of these Terms. We commit to communicating termination or suspension in a reasonable timeframe, allowing for data export where feasible, subject to legal and operational constraints.
13. Disclaimers; Limitations of Liability
The Services are provided on an “as is” basis. Signit and its affiliates expressly disclaim all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will be free from errors or that access will be continuous or uninterrupted.
You acknowledge that Signit is not liable for any issues arising from user content, including errors, viruses, defamation, or inaccuracies. You bear full responsibility for your use of any user content and any disputes that may arise from such use.
Considering the risks associated with using online platforms, Signit and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, without limitation, loss of profits, data, goodwill, or other intangible losses, resulting from (i) your access to or use of (or inability to access or use) the Services; (ii) the conduct or content of third parties on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content.
Notwithstanding the foregoing, Signit’s total liability to you for all claims arising out of or related to the Services shall not exceed the amount you have paid to Signit during the twelve months immediately preceding the date of the claim.
14. Legal Disclaimer
Signit does not provide legal advice or participate in the content of agreements made through our services. You are responsible for ensuring legal compliance of documents and agreements.
15. Indemnification
You agree to indemnify and hold harmless Signit, its affiliates, officers, agents, employees, and partners from any claim or demand, including reasonable attorney’s fees, made by any third party due to or arising out of your use of the Services, your user content, your violation of these Terms, or your violation of any rights of another.
Signit reserves the right, at our discretion, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, with you providing all necessary cooperation. We may also settle, compromise, and pay any claims or causes of action against us related to your indemnification obligations without your prior consent.
While we aim to keep you informed and consider your views where possible, we may not require your explicit consent for all decisions related to the defense, settlement, or compromise of claims. However, we will not settle any claim that imposes an obligation on you or admits your liability without your prior explicit consent.
16. Waiver
You agree to release Signit, our affiliates, and each of our and their respective employees, contractors, directors, suppliers, and representatives from claims, demands, and damages of every kind and nature, known and unknown, arising out of or in any way connected with any disputes directly resulting from your use of the Services, except those claims directly resulting from Signit’s gross negligence or willful misconduct. This waiver does not cover any claims, liabilities, damages, or losses resulting from actions that are not permitted under applicable law and does not waive rights that cannot be waived.
17. Governing Law and Jurisdiction
These Terms of Service and any access to or use of the Services will be governed by the laws of the Kingdom of Saudi Arabia.
18. Arbitration
If there is a dispute under these Terms, we would prefer to resolve it amicably first. If we can’t find a solution within 60 days, we’ll proceed to arbitration, guided by the laws of Saudi Arabia. The arbitration will take place in the Dubai International Finance Centre, adhering to the DIFC-LCIA Rules, and will be conducted in English. This process will involve three arbitrators: one chosen by us, one by you, and a third selected by the first two arbitrators. The decision from the arbitration will be final and enforceable under Saudi Arabian law in any court that has the appropriate jurisdiction.
